These Terms of Use (these “Terms”) set forth the legally binding terms and conditions between Neuralogic Group, Inc. ("Neuralogic," "we," "our," and "us") and you, governing your access to and use of the website located at www.neuralogic.co and any other websites linking to these Terms (collectively, the “Site”). You further represent that you are at least 18 years of age and have the legal capacity to agree to these Terms. 1. Accounts
1.1 Account Creation
In order to use certain features of the Site, you must register for an account (“Account”) and provide certain information about yourself as prompted by the account registration form. You represent and warrant that:
(a) all required registration information you submit is current, complete, truthful, and accurate; and
(b) you will maintain the accuracy of such information.
You may delete your Account at any time by sending an email to us at admin@neuralogic.co and stating, with sufficient detail, that you wish to delete your Account. Neuralogic may suspend or terminate your Account in accordance with Section 10.
1.2 Account Responsibilities
As an Account holder, you are solely responsible for maintaining the confidentiality of your login credentials and for any activities or actions performed under your Account. Neuralogic disclaims any liability for unauthorized access resulting from your failure to secure your Account credentials. You agree to notify Neuralogic immediately of any unauthorized use of your Account.
2. SMS Terms & Conditions
2.1 SMS Consent Communication:
The information (Phone Numbers) obtained as part of the SMS consent process will not be shared with third parties for marketing purposes.
2.2 Types of SMS Communications:
If you have consented to receive text messages from Neuralogic Group Inc, you may receive messages related to the following:
2.2.1 Conversations (external)
Neuralogic, uses messaging to facilitate one-on-one, day-to-day communication with external parties, including customers and vendors. These messages are tailored to specific interactions, ensuring they are relevant, timely, and necessary for conducting business operations. Examples of permitted activities include: Customer Support and Assistance. Project coordination. Vendor communication, transactional notifications (non-automated), and collaborative discussions. These are all manual, personalized, non-marketing and comply with TCPA.
2.2.2 Conversations (between employees)
We use messaging to facilitate direct and personalized communication with external parties, including customers, vendors, and partners, specifically regarding contracts, agreements, and other formal business matters. These interactions focus on ensuring clarity, alignment, and timely resolution of issues. Examples include: agreement negotiation, approval requests, documentation and compliance, and payment coordination.
2.3 Message Frequency:
Message frequency may vary depending on the type of communication. For example, you may receive up to 25 SMS messages per day related to your customer support and assistance and project coordination. Also, vendor communication, transactional notifications (non-automated), and collaborative discussions.
2.4 Potential Fees for SMS Messaging:
Please note that standard message and data rates may apply, depending on your carrier’s pricing plan. These fees may vary if the message is sent domestically or internationally.
2.5 Opt-In Method:
You may opt-in to receive SMS messages from Neuralogic Group Inc. in the following way:
• By submitting a website form
• When they Message us first
• Verbally, during a conversation
2.6 Opt-Out Method:
You can opt out of receiving SMS messages at any time. To do so, simply reply "STOP" to any SMS message you receive. Alternatively, you can contact us directly to request removal from our messaging list.

3. Access to the Site
3.1 License
Neuralogic grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site solely for personal, non-commercial purposes.
3.2 Restrictions
(a) You may not reproduce, distribute, sell, lease, sublicense, or create derivative works from any part of the Site or its content.
(b) You are prohibited from reverse-engineering, decompiling, or disassembling any part of the Site or its underlying technology.

5. Disclaimers and Limitation of Liability
5.1 Disclaimer of Warranties
The Site and its content are provided "as is" and "as available" without any warranties, express or implied. Neuralogic disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
5.2 Limitation of Liability
To the fullest extent permitted by law, Neuralogic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data. Neuralogic’s total liability, regardless of the cause of action, shall not exceed the greater of (i) the total amount you have paid, if any, to Neuralogic for access to the Site, or (ii) $100 USD.
6. Indemnification
You agree to indemnify, defend, and hold harmless Neuralogic, its officers, directors, employees, affiliates, agents, and licensors from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
(a) your use of the Site or any content you submit;
(b) your violation of these Terms or applicable laws;
(c) any claims alleging that your User Content infringes on third-party intellectual property or other rights;
(d) any unauthorized access or use of your Account.
Neuralogic reserves the right to assume the exclusive defense and control of any matter subject to indemnification.
7. Termination
Neuralogic may suspend or terminate your access to the Site at any time, for any reason, without prior notice or liability. Upon termination, all licenses granted to you under these Terms will immediately cease.
8. Privacy Policy

9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Dover, Delaware, for the resolution of any disputes arising under these Terms.
10. General Provisions
(a) Entire Agreement: These Terms constitute the entire agreement between you and Neuralogic regarding the use of the Site.
(b) Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
(c) No Waiver: Neuralogic’s failure to enforce any provision of these Terms does not constitute a waiver of its rights to enforce such provisions in the future.
